1. Agreement to Terms

By accessing or using the PixelUI service ("the Service"), whether through the website, API, or any other means, you ("the User" or "you") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and PixelUI (referred to as "PixelUI," "we," "us," or "our"). If you do not agree to all of these Terms, you are expressly prohibited from accessing or using the Service and must discontinue your use immediately. Your continued use of the Service signifies your unequivocal acceptance of these Terms.

2. Use License and Restrictions

2.1. Grant of Limited License: Subject to your compliance with these Terms, PixelUI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal or internal business purposes. This license permits you to generate code, prompts, and other content from the Service, subject to the restrictions outlined herein.

2.2. Prohibited Activities: Under this license, you expressly agree that you will not:

  • 2.2.1. Modify or Copy: Modify, copy, reproduce, distribute, or create derivative works based on the Service, including its algorithms, source code, user interfaces, or proprietary technologies, except as expressly permitted under this license.
  • 2.2.2. Commercial Redistribution: Use the Service for any commercial purpose that directly competes with PixelUI or its services, without prior written consent. This includes reselling access to the service, or using the service to build a competing product..
  • 2.2.3. Reverse Engineering: Attempt to decompile, reverse engineer, disassemble, or otherwise derive the source code or algorithms from any software or components of the Service.
  • 2.2.4. Remove Proprietary Notices: Remove or alter any copyright, trademark, or other proprietary notices, markings, or labels appearing on or within the Service.
  • 2.2.5. Transfer of License: Transfer, sublicense, or assign your rights under this license to any third party.
  • 2.2.6. Unauthorized Access: Use the Service in any way that could disable, overburden, or impair the Service or interfere with other users' use of the Service, including attempting to gain unauthorized access to the Service, its servers, or related systems.
  • 2.2.7. Scraping: Use any data mining, robots, or similar data gathering or extraction methods to collect or index information from the Service.
  • 2.2.8. Violation of Law: Use the Service for any purpose that violates applicable local, state, national, or international laws, regulations, or ordinances.

3. Service Description and Output Usage

3.1. Service Functionality: PixelUI is an AI-powered design-to-code conversion platform that analyzes user-uploaded design mockups and generates prompts, code snippets, and recommendations for web development. The Service also generates AI-powered prompts that can be used in third-party code editors, such as Cursor, Windsurf, or Bolt.new, to facilitate the creation of professional websites and web applications, even without prior coding knowledge. The specific features of the Service are described on our website and may be updated from time to time at PixelUI’s sole discretion.

3.2. Generated Content: PixelUI provides code, prompts, and other outputs ("Generated Content") as a tool to aid users in their development processes. PixelUI does not claim any ownership rights in the Generated Content. This includes prompts specifically designed for use in third-party AI-powered code editors.

3.3. User's Rights in Generated Content: You retain all rights, title, and interest in the Generated Content you create using the Service, including, without limitation, the right to use, modify, distribute, and monetize that Generated Content in any way you choose, subject to applicable laws and any third-party licenses.

3.4. No Liability for Generated Content and Third-Party Editor Usage: PixelUI shall not be liable for any consequences, liabilities, or damages arising out of or related to the use or misuse of the Generated Content by any user, or by third parties who may have access to the generated content through your actions, including but not limited to the performance, accuracy, or results of any code editor, such as Cursor, Windsurf or Bolt.new and the websites/applications you create with it. It is your sole responsibility to review, validate, test, and ensure that all code, prompts, or outputs of PixelUI and any usage of those outputs in any third-party tools is suitable for your intended use. You agree that any use of the generated content and integration with third-party editors is entirely at your own risk.

3.5. "As Is" Service: The Service and all Generated Content are provided "as is" without warranties of any kind, either express or implied. PixelUI does not guarantee the accuracy, completeness, or suitability of any Generated Content for any specific purpose or its performance with external code editors. We do not guarantee that our service will always integrate seamlessly with all third-party tools.

4. User Accounts and Security

4.1. Account Registration: You must register for an account to use the Service. During registration, you agree to provide accurate, complete, and current information. You are solely responsible for the confidentiality of your account credentials, including your password, and for all activities that occur under your account.

4.2. Security Measures: You agree to:

  • 4.2.1. Notify us immediately of any unauthorized use of your account or any other breach of security.
  • 4.2.2. Maintain and promptly update your account information to ensure it is accurate and current.
  • 4.2.3. Be fully responsible for all activities that occur under your account, including but not limited to all actions you make when using the service.
  • 4.2.4. Use commercially reasonable efforts to prevent unauthorized access to your account, including selecting strong passwords and securing your access credentials.
  • 4.2.5. Take appropriate security measures, such as secure access to your devices where you access the Service to prevent third-party access to your account.

4.3. Account Suspension: PixelUI reserves the right to suspend or terminate your account if we reasonably believe that you have violated these Terms or any applicable laws, or if your account is involved in fraudulent or unauthorized activities, without prior notice or liability to you.

5. Free and Pro Accounts & Payments

5.1. Account Tiers: The Service offers both free and pro account tiers, each with different usage limits and features as detailed on our website. Free account functionality may have limitations, and features may be updated or discontinued over time.

5.2. Payment Terms: Pro accounts require the payment of recurring subscription fees according to the selected plan. Payments will be processed through Stripe or our designated payment processor, and you agree to be bound by their respective terms of service.

5.3. Billing and Renewal: By selecting a Pro account, you authorize us or our payment processor to charge your selected payment method at the applicable rate specified for your subscription, on a recurring basis, until your subscription is cancelled. Recurring subscriptions will automatically renew unless cancelled by you prior to the renewal date.

5.4. Subscription Cancellation: You may cancel your Pro account subscription at any time. However, you will be responsible for all charges until the end of your current billing cycle. No refunds or credits will be issued for partial subscription periods.

5.5. Usage Limits: Your usage of the Service is limited according to your selected account tier, including limits on design analyses per month or other parameters as stipulated on the pricing page.

6. Intellectual Property

6.1. User-Uploaded Designs: You retain all ownership rights to the designs and any intellectual property in the design mockups you upload to the Service, subject to the license you grant to PixelUI in these Terms.

6.2. License Grant to PixelUI: By using the Service, you grant PixelUI a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, translate, distribute, publicly perform, publicly display, and create derivative works from your uploaded designs and content. This license is solely for the purposes of providing and improving the Service for you and other users. This license terminates when your content is deleted from the platform unless we have a legal obligation to maintain copies.

6.3. PixelUI’s Intellectual Property: The Service, including all associated technology, software, user interfaces, trade names, trademarks, service marks, and logos, are and shall remain the exclusive property of PixelUI, and are protected by intellectual property laws. PixelUI does not transfer or grant any intellectual property rights to you, except as explicitly stated in the limited license granted under section 2.1 of these Terms.

6.4. Feedback: If you provide any feedback, suggestions, or recommendations to us about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such feedback without compensation or attribution.

7. User Content Guidelines and Acceptable Use

7.1. Acceptable Content: When using the Service, you agree that you will not upload or share any content, including designs and related materials, that:

  • 7.1.1. Infringes on any intellectual property rights, including copyrights, trademarks, patents, trade secrets, or other proprietary rights, of any third party.
  • 7.1.2. Contains malicious code, viruses, malware, or other harmful files or elements that may damage the Service or other users' systems.
  • 7.1.3. Violates any applicable local, state, national, or international laws, regulations, or ordinances.
  • 7.1.4. Contains personal or sensitive information of others that could violate privacy or security.
  • 7.1.5. Is discriminatory, hateful, threatening, abusive, harassing, harmful, or offensive based on race, color, ethnicity, religion, gender, sexual orientation, or disability.
  • 7.1.6. Is pornographic, obscene, or contains child exploitation in any form.
  • 7.1.7. Impersonates any person or entity, or misrepresents your affiliation with a person or entity.
  • 7.1.8. Is false, inaccurate, misleading, or fraudulent.
  • 7.1.9. Is used for any illegal or unauthorized purposes.

7.2. Monitoring and Removal: PixelUI reserves the right, but not the obligation, to monitor, review, and remove any content you upload to the Service that violates these Terms, at our sole discretion and without prior notice or liability to you.

7.3. Reporting Abuse: If you encounter content that violates these Terms, you may report it to us through the contact information provided at the end of these Terms.

8. Limitation of Liability and Indemnification

8.1. No Liability for Service Use: In no event shall PixelUI, its directors, officers, employees, partners, affiliates, agents, suppliers, or licensors, be liable to you or any third party for any direct, indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, arising from or related to:

  • 8.1.1. Your access to or use of or inability to access or use the Service.
  • 8.1.2. Any conduct or content of any third party on the Service.
  • 8.1.3. Any content obtained from the Service, including any code or prompts generated by the AI.
  • 8.1.4. Unauthorized access, use, or alteration of your transmissions or content.
  • 8.1.5. Errors, inaccuracies, or interruptions of the Service.
  • 8.1.6. Any issues that may arise because of the usage of code or prompts you generated through our service, including how it operates in third party tools and the final product generated

8.2. No Liability for Code Quality or Suitability and Third-Party Integration: PixelUI explicitly disclaims any responsibility for the quality, accuracy, suitability, or fitness of the Generated Content for any purpose, and also how it may perform in third-party code editors. We do not warrant that the code provided by the Service or the prompts generated will work flawlessly with third-party code editors, be bug-free, fully functional, secure, or suitable for your specific purposes. You are solely responsible for testing the code and prompts, securing it, ensuring its suitability for your needs, and making sure it functions properly in your chosen coding environment. We are not responsible for any incompatibility with third party tools, issues in code that was generated from the prompts, or issues in the product that was built with them

8.3. User Assumption of Risk: You expressly acknowledge and agree that your use of the Service, including all features, any code, prompts, or data obtained from the Service, and usage in third-party tools, is at your sole risk. The service is provided "as is" and “as available”. PixelUI makes no warranties of any kind, express or implied, regarding the Service or Generated Content and how it will perform in other tools.

8.4. Indemnification: You agree to indemnify, defend, and hold harmless PixelUI, its directors, officers, employees, partners, affiliates, agents, suppliers, and licensors from and against any and all losses, damages, liabilities, claims, demands, costs, and expenses (including reasonable attorney’s fees) that may arise directly or indirectly from:

  • 8.4.1. Your access to or use of the Service.
  • 8.4.2. Your violation of these Terms.
  • 8.4.3. Your violation of any third-party rights, including intellectual property rights.
  • 8.4.4. Any content you upload to the Service or that results in any claims by a third party.
  • 8.4.5. Any and all usage of the code or prompts you generate with our service and the products generated using them, including how it works in other services.

8.5. Limitation of Liability: If, notwithstanding other provisions of these Terms, PixelUI is found to be liable to you for any damages, PixelUI’s total liability to you for any and all damages will not exceed the amount paid by you for the Service in the 12 months prior to the event giving rise to liability.

9. Termination and Account Suspension

9.1. Termination by PixelUI: PixelUI may terminate or suspend your account and access to the Service immediately, without prior notice or liability to you, for any reason whatsoever, including, without limitation, if you breach any of these Terms, engage in any fraudulent or unlawful activity, or if your continued use may be harmful to the Service or its users.

9.2. Termination by User: You may terminate your account by ceasing all usage of the Service and cancelling your Pro subscription if you have one.

9.3. Consequences of Termination: Upon termination, your right to use the Service will immediately cease. PixelUI may, but is not obligated to, delete all content and data associated with your account, including your designs. Sections 1, 3, 6, 7, 8, 10, and 11 of these Terms will survive any termination or suspension of your account.

10. Changes to Terms

10.1. Right to Modify: PixelUI reserves the right, at our sole discretion, to modify, revise, amend, or replace these Terms at any time.

10.2. Notification of Changes: If a revision is material, we will make reasonable efforts to provide at least 30 days’ notice before the new terms take effect, through the service, email, or by posting an announcement on our website. However, it is your responsibility to periodically check these Terms for any updates.

10.3. Acceptance of Updated Terms: By continuing to access or use the Service after any revisions become effective, you agree to be bound by the updated Terms. If you do not agree to the updated Terms, you must discontinue your use of the Service immediately.

11. General Provisions and Contact Information

11.1. Governing Law: These Terms and your use of the Service shall be governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law principles.
